The Reserve and all permitions will be transfered to the joint venture enterprise which will be founded on the Site location in Malatya to further below described conditions.
The Investment Offer
The aimed consortium of investors is ideally consisting of multiple companies operating in construction and trade of building materials, investors and entrepreneurs, who participate in management and marketing in the cooperation.
Ilktomi Properties and Mr. Ilhan Gültekinoglu respectively has the authorisation by the owner of the diabase and monzonite quarry to initiate the joint venture business plan and to start talks with investors and strategic partner companies.
Investment Volume
Required investment volume is 10 000 000 $ as joint venture capital and will be equal to a 60% stake in the joint stock cooperation which will be founded on quarry location in Malatya, Turkey.
The smallest stake available for small investors is 1 % and equal to 166.666$
The Current owners of the Diabase and monzonite mine will transfer the ownership and permitions to the joint stock cooperation and will receive in turn a total of 40% share of this cooperation, in detail 36% Simsekler Group and 4% ilhan Gültekinoglu..
100% of the 10 000 000 $ will flow in to the joint stock cooperation.
Early Stage, Period of Ascertaining Investors
In this early stage, interrested investors are requested to send a letter of intention by mentioning the amount of investment and a short description of their activities.
Deadline for the letter of intent is 30.June 2010.
Process of Determining Investors
In this stage, we will start talks with all potential investors and we will issue a first list of qualified investors and institutions.
We will also issue a list of substitutes for the case of discontinuance of an investor from the first list.
In this timeline commencing the first July and ending the 31. August 2010 we will invite our potential partners for talks in Turkey and run feasibility studies.
Qualified investors will be demanded to open an account at a Turkish Bank on their own names and to deposit 5% of their intended total investment amount before the deadline on 31. August 2010 and send us a copy of the bank receipt.
Foundation of the Cooperation
We will anounce in the first week of September all Investors. Upon consultation with all Investors, we will set up the date of foundation of the new cooperation in the first or second week in October 2010
All Investors has to be present or has to be represented by a Turkish solicitor with a valid power of attorney issued by a Turkish notary at the date of foundation and will be incorporated as shareholders in the new cooperation. The appropriate amounts of investments has to be 10 days before this date on the Turkish accounts of the Investors and a copy of the Bank receipt has to be send to us by this date.

| Diabase and
monzonite stones are magmatic origin stones, they can be
used from blocks to dust. Besides polished surfaces, the stones can also processed by sanding, burning or for simple purposes processed with a patina surface. The moisture absorbtion of the natural Diabase is less then 0,2% and it is not affected by atmospheric conditions like marble and travertine. This feature and a high pressure and impact resistance, makes Diabase and monzonite to preferred outdoor materials in addition to their versatile utilisation in heavy duty entrance areas, kitchens and bathrooms. Consumers shift their preferences from marble and travertine towards magmatic stones day by day (diabase, basalt, monzonite, gabbro, syenite, granite, etc.) In addition to the marketed end products, there is a demand for the whole mining waste from the chemical-, cemment industry and respectively by the tile and ceramic Industry. |
